Trustee Role Description
Purpose of role:
The Board of Trustees is responsible for the overall governance and strategic direction of Wandsworth Care Alliance (WCA).
Scope and objectives:
Trustees have a duty individually and collectively to:
- Determine the overall direction and development of WCA through good governance and clear strategic planning.
- Ensure that WCA pursues the objectives defined in its governing documents, and complies with charity law, company law, employment legislation, and with all other relevant legislation, constantly striving for best practice in governance.
- Uphold the financial responsibilities invested in their position, undertaking such duties in a way that adds to public confidence and trust in WCA.
- Ensure that WCA uses its resources in pursuit of its charitable objects.
Main duties:
- To contribute actively to the Board’s role in providing direction for WCA, in setting overall policy and in maintaining a framework of good governance and accountability, and in evaluating performance against agreed targets.
- To give clear direction, leadership, guidance, and advice to the WCA director and staff.
- To safeguard the good name and values of WCA and to act as an ambassador for the organisation.
- To provide vision, inspiration, and support to the WCA director and staff.
- To ensure the effective and efficient administration of WCA.
- To ensure the financial stability of WCA.
- To appoint the director and monitor his/her performance.
- To use specific skills, knowledge, or experience to help the Board of Trustees to reach sound decisions.
This may involve:
- Scrutinising Board papers;
- Contributing to or leading Board discussions;
- Acting as a board champion for a particular area of WCA’s work;
- Identifying and focusing on key issues;
- Providing guidance on new initiatives;
- Being part of a working group.
Duty of care:
Each Trustee will:
- Apply reasonable care and skills as a Trustee, using their knowledge and experience to ensure that WCA is well run and efficient;
- Be ready to consider the need for external professional advice on matters where there may be material risk to the charity, or where the Trustees may be in breach of their duties;
- Safeguard the good name and values of WCA.
- Maintain absolute confidentiality about sensitive information received in the course of responsibilities as a Trustee.
Each Trustee will:
- Ensure that the charity is and will remain solvent; keeping informed of the charity’s activities and financial position;
- Avoid undertaking activities that might place the charity’s property, funds, assets or reputation at undue risk.
Each Trustee is required to act reasonably and prudently in all matters relating to the charity and must always bear the interests of WCA in mind.
Section 72(1) of the Charities Act 1993 disqualifies anyone who:
- Has been convicted of an offence involving deception or dishonesty unless the conviction is spent.
- Is an un-discharged bankrupt.
- Has previously been removed from trusteeship of a charity by the court or the Charity Commissioners.
- Is under a disqualification order under the Company Directors Disqualification Act 1986.
It is an offence to serve as a charity trustee while disqualified unless the Charity Commission has given a waiver under section 72(4) of the Charities Act 1993.
Accountability:
The law imposes a duty of care on Trustees to act responsibly and prudently in all matters relating to their charity and to act in the best interests of the charity.
WCA is a registered Charity and Company Limited by guarantee and Trustees are therefore accountable to the members, the Charity Commission, and to Companies House (as company directors).
Suitability as a WCA Trustee will include many of the following:
- Commitment to Wandsworth Care Alliance (WCA).
- Willingness to devote the necessary time and effort.
- Availability to attend meetings regularly.
- Strategic vision.
- Good, independent judgement.
- Ability to think creatively.
- Willingness to participate actively in discussions, listening to others and con- tributing accordingly.
- To use professional experience and any technical skills and knowledge to contribute to Trustee decision making.
- Ability to work effectively as a member of a team.
- Ambassadorial ability and willingness to represent WCA in a range of situations.
- Experience of involvement in community or residents’ groups and/or in building community involvement.
- Commercial awareness including, but not limited to: marketing, branding, fundraising and social media.
- Skills and experience within finance or communications.
- Valuing diversity, with experience and/or knowledge of minority issues and perspectives.
- Capacity to pursue potential sources of charitable investment in WCA.
- Willingness to take part in training and learn new skills.
Person specification
Trustees should possess:
- Commitment to Wandsworth Care Alliance (WCA);
- Willingness to devote the necessary time and effort. This will include attending a minimum of six out of the eight Board meetings a year, plus additional related meetings, in addition to the Annual General Meeting;
- Contribute to WCA Strategic vision;
- Good, independent judgement;
- Ability to think creatively;
- Willingness to speak their mind, and to lead and contribute to discussions enabling their professional experience to contribute to trustee’s decision- making;
- Willingness to use their experience and or specific technical skills for work areas reserved for Trustees;
- Understanding and acceptance of the legal duties, responsibilities and liabilities of trusteeship and the governance role;
- Ability to work effectively as a member of a team;
- Ambassadorial ability;
- Chairing skills or the willingness to develop them.

Being a Trustee
IRMO’s Board of Trustees is made up of six to nine Trustees, who work together to ensure the charity is run properly. As a trustee, you will have the opportunity to support IRMO’s strategic development and oversee its finances. Trustees meet every two months (usually online in the evening) and are asked to commit an additional eight to ten hours between meetings to follow up on actions and provide advice and input on strategic documents and areas of work relevant to their areas of expertise.
General Responsibilities
- Stay up to date with and assess the political, economic and social contexts that affect IRMO’s work
- Support the development of and approve IRMO’s key strategic documents
- Annually review and approve IRMO’s budget
- Review, update and approve major policies
- Approve salaries, benefits, terms and conditions for staff
- Ensure that IRMO’s financial structure is adequate for its current needs and long-term strategy
- Ensure that the organisation has the necessary resources in place to meet its long-term goals
- Ensure that the Board of Trustees is adequately informed of the condition of the organisation and its operations
- Ensure that published reports adequately reflect the nature of the services and the financial condition of the organisation
- Approve major actions of the organisation, such as capital expenditure over authorised limits and major changes in activities and services
- Review staff results in relation to IRMO’s aims and objectives, as well as annual and long-term goals
- Appoint, supervise, support, and appraise IRMO’s Director
- Provide candid and constructive criticism, advice, comments and praise
- Ensure that the Director has established appropriate policies to define and identify conflicts of interest throughout the organisation and are administering and enforcing those policies
- Appoint independent examiners/auditors subject to approval by members
- Ensure compliance with relevant legislation affecting the organisation
- Annually review the performance of the Board of Trustees and take steps to improve its performance

The Pelvic Radiation Disease Association (PRDA) is looking for a Chair of Trustees to provide strategic leadership for the charity, working in partnership with our Operations Manager and supported by a committed team of Trustees.
Who we are
Pelvic Radiation Disease (PRD) is a long-term side-effect (‘late effect’) of pelvic radiotherapy treatment affecting an estimated 100,000 people in the UK. People affected by PRD often have a complex set of symptoms affecting the bowel, bladder, sexual function or other functions for many years after radiotherapy, sometimes only appearing several years after radiotherapy treatment
PRDA is a small UK charity whose objectives are to see that the effects of PRD are minimised, that people affected by PRD are given the best possible care and treatment, and that PRD is accepted as a serious problem and given the attention it deserves.
Duties of the Chair
In addition to the duties of a Trustee, the Chair will:
- Provide strategic leadership to the charity and the Board, ensuring that PRDA achieves its mission.
- Work in partnership with the Operations Manager and team to achieve our mission.
- Lead the board in ensuring that it fulfils its responsibilities for the governance of the organisation.
- Optimise the relationship between the board and PRDA’s staff and volunteers.
- Plan and chair the board meetings and the AGM, with others as appropriate.
- Act as a spokesperson and figurehead for PRDA.
What PRDA is looking for
Each trustee must have:
- a commitment to the vision and aims of the Pelvic Radiation Disease Association
- willingness to meet the minimum time requirement

- Understanding of the impact of Pelvic Radiation Disease on people’s lives either through personal or professional connections, or be willing to learn about this;
- Prior experience of committee/trustee work;
- Knowledge of the type of work undertaken by PRDA (helpline, support groups, online support, health professional engagement, awareness-raising) and/or fundraising for a small charity, and
- Leadership skills.

Care Ashore is a charity with a proud history. Since the 1920s Care Ashore has offered independent living accommodation, respite breaks and support to seafarers in need. Uniquely situated on a 260-acre estate in Surrey, Care Ashore provides accommodation for merchant seafarers and former members of the Royal Navy, the Fleet Air Arm, those who have worked on British Fishing Fleets and others with a maritime link.
With around 60 current beneficiary residents, the charity offers accommodation in purpose-built properties and helps to fund the support provided to beneficiaries with the commercial activities of the estate.
Following a recent recapitalisation and the appointment of a new CEO, Care Ashore is well positioned to improve the quality of the accommodation offered, enhance services delivered to beneficiaries and expand on commercial opportunities on the estate.
The current Board has a mix of backgrounds and experience but wishes to strengthen the diversity further to ensure the needs of those they serve, along with the wider community are met. There are currently 3 board vacancies and ideal candidates will bring to the board experience in one or more of the following areas:

- Fundraising & Income Generation: Broad understanding of income generation, particularly in engaging major donors and corporate partners, with a strong focus on diversifying income streams for financial sustainability.
- Retail: Commercial or charity retail experience, with a genuine interest in sustainable practices.
- IT: Strategic guidance on maximizing effective use of IT, driving IT innovation and ensuring strong cybersecurity measures across the charity.
- Finance: Finance background with experience in managing or being part of a finance team.

We are looking for passionate people who will help us to build a vibrant board, and who:
· are able to work effectively as a team and participate at the heart of decision making
· have lived experience of the issues our clients face, or have worked with people experiencing one or more of these issues
· will actively seek and promote equal opportunity for migrants
We would welcome applications from someone who could support us with one or more of our current priorities:
· to identify suitable funders and make applications; and develop a fundraising strategy that will make our work more sustainable
· to recruit a paid volunteer coordinator; and recruit more volunteers to productive and fulfilling positions
About the role
This is a voluntary position. Previous experience as a trustee is not necessary as training will be provided. We welcome applications from all ages and backgrounds.
We are looking for people who have time to commit to the organisation. Volunteer trustees are expected to prepare for and attend our regular board meetings, that are held four times per year. We also ask that contribute to other meetings and projects when you can.

The Chairman of the Birnbeck Regeneration Trust will provide leadership and direction to the Board of Trustees and oversee the strategic management of the Trust.

The role
Key Responsibilities
- Leadership and Governance
- Lead the Board of Trustees in setting the strategic direction and goals of the Trust.
- Ensure effective governance and compliance with all legal and regulatory requirements.
- Preside over Board meetings, ensuring they are conducted efficiently and effectively.
- Facilitate open communication and productive discussion among Trustees.
- Strategic Planning and Oversight
- Oversee the development and implementation of the Trust’s strategic plan.
- Monitor progress towards strategic goals and ensure the alignment of all activities with the Trust’s mission.
- Ensure robust risk management practices are in place.
- Stakeholder Engagement and Advocacy
- Act as the principal spokesperson for the Trust, representing its interests to stakeholders, including government bodies, donors, and the public.
- Build and maintain relationships with key stakeholders to enhance the Trust’s profile and support fundraising efforts.
- Advocate for the Trust’s mission and work to secure long-term support and partnerships.
- Strategic Planning and Oversight
- Act as the principal spokesperson for the Trust, representing its interests to stakeholders, including government bodies, donors, and the public.
- Build and maintain relationships with key stakeholders to enhance the Trust’s profile and support fundraising efforts.
- Advocate for the Trust’s mission and work to secure long-term support and partnerships.
- Fundraising and Financial Oversight
- Work with the Board to develop and implement fundraising strategies.
- Ensure the Trust’s financial health through effective financial oversight, including budget approval and financial planning.
- Monitor and review financial performance and ensure transparency and accountability in financial reporting.
- Board Development and Performance
- Lead efforts to recruit, induct, and develop a diverse and effective Board of Trustees.
- Conduct regular evaluations of the Board’s performance and address any areas for improvement.
- Foster a culture of collaboration, inclusivity, and high performance within the Board.
- Support and Supervision
- Provide guidance and support to the board and volunteer team.
- Ensure clear delegation of responsibilities and effective communication between the Board and the volunteers.
- Address any conflicts or issues within the Board promptly and constructively.
Qualifications and Skills
- Education and Experience
- Extensive experience in a leadership role within a major industrial, commercial, charitable or non-profit organisation.
- Proven track record in managing a retail and cafe outlet.
- Proven track record of strategic planning, governance, and financial oversight.
- Experience in heritage restoration, community projects, or a related field is highly desirable.
- Skills and Competencies
- Strong leadership and people management skills.
- Excellent communication, negotiation, and advocacy skills.
- Strategic thinker with the ability to drive the Trust’s vision and mission.
- Solid understanding of governance best practices and regulatory requirements.
- Strong financial acumen and experience with fundraising experience running a profitable business with £1m+ revenue
